1. Agreement to Terms

By accessing or using TradeBeat ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service. These Terms apply to all visitors, users, and anyone else who accesses or uses TradeBeat.

2. Description of Service

TradeBeat is a trading journal and analytics platform that allows users to log trades, analyse performance metrics, and access market data. Features include but are not limited to: trade journaling, equity curve analysis, a trade calendar, a market scanner, AI coaching, broker import, and chart notebooks.

3. User Accounts

You must create an account to use TradeBeat. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Providing accurate and current information during registration.
• Notifying us immediately of any unauthorized use of your account.

We reserve the right to terminate accounts that violate these Terms, are used fraudulently, or remain inactive for an extended period.

5. Subscriptions and Billing

TradeBeat offers a Free plan (up to 5 trades per month) and a paid Pro plan ($20/month, unlimited trades), billed monthly.

• Subscriptions renew automatically at the end of each billing cycle.
• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of the current billing period; no partial refunds are issued.
• We reserve the right to change pricing with 30 days' notice.
• All prices are in USD unless stated otherwise.

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any software in the Service.
• Share your account credentials with others or create multiple accounts to circumvent plan limits.
• Upload malicious files, viruses, or any code designed to disrupt the Service.
• Scrape, harvest, or extract data from TradeBeat without express written permission.

7. Intellectual Property

TradeBeat and its original content, features, and functionality are the exclusive property of TradeBeat and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all trade data and content you submit to the platform.

By submitting content to TradeBeat, you grant us a limited, non-exclusive licence to store and process that content solely for the purpose of providing the Service to you.

8. Third-Party Services

TradeBeat integrates with third-party services including Finnhub (market data), Supabase (database), and OpenAI (AI features). Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of third-party data.

9. Limitation of Liability

To the maximum extent permitted by law, TradeBeat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to TradeBeat in the three months preceding the claim.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may suspend or restrict access to perform maintenance, upgrades, or in response to security incidents. We are not liable for any losses resulting from service interruptions.

11. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Service ceases. You may request an export of your data within 30 days of termination; after that period, data may be deleted.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the applicable jurisdiction.

13. Changes to Terms

We reserve the right to update these Terms at any time. We will provide notice via email or a prominent notice within the Service at least 14 days before changes take effect. Your continued use of TradeBeat after changes take effect constitutes acceptance of the updated Terms.
